Commercial Lease Agreement

Party A (Lessor): 
Party B (Lessee): 

Party A hereby leases to Party B the commercial property owned by Party A. To clarify the rights and obligations of both parties, this Agreement is entered into through equal negotiation under the following terms:

一、Premises and Area

1.         The leased property is Shop No. 000in Buildings 000, and 0 of the Outdoor Pedestrian Street of Xuzhou Yunlong Wanda Plaza (hereinafter referred to as the "Premises"). Party A holds legal ownership of the Premises.

2.         The leased area is 141.81 square meters. Party A agrees that Party B may use the Premises for business operations, the scope of which shall be in accordance with Party B’s business license.

二、Lease Term

1 The lease term is five (5) years, from April 3, 2025, to April 2, 2030. If Party B wishes to renew the lease, it must provide written notice to Party A three (3) months prior to the lease expiration. A new lease agreement shall be executed upon Party A’s consent.

The rent for the first two lease years shall remain unchanged. Starting from the third lease year, the rent shall increase by 5% annually based on the previous year’s rent. From the third year onward, the rent shall be calculated based on RMB 300,000, with a 5% increase in the third year and another 5% increase in the fifth year.

1.         Payment Method: The first rental period is from April 3, 2025, to October 2, 2025, totaling RMB 150,000, payable within three (3) days after signing this Agreement. Subsequent payments shall be made every six (6) months, due fifteen (15) days in advance.

2.         Property Management Fees: Party B shall pay such fees directly to the property management company.

3.         Party B shall pay Party A a security deposit equivalent to one (1) month’s rent (RMB 25,000). The deposit shall be refunded without interest upon lease expiration. If Party B breaches this Agreement or terminates it prematurely without Party A’s consent, Party A shall have the right to retain the deposit as compensation.

四、Rights and Obligations during the Lease Term

1.         Party B has the exclusive right to operate, manage, and use the Premises, free from interference by any third party.

2.         All operating expenses (including investment costs, utilities, renovations, heating, gas, property fees, taxes, and debts) shall be borne by Party B. Upon lease termination, Party B must settle all outstanding payments.

3.         Party B must comply with traffic and public order regulations, maintain unobstructed access to the Premises, and implement the "Three Responsibilities" policy for storefront management. Any violations resulting in losses shall be Party B’s responsibility.

4.         Party B shall operate within legal and regulatory limits. Illegal operations shall be Party B’s sole liability.

5.         During the lease term, if Party B wishes to sublet the leased property to a third party for use, Party B must obtain written consent from Party A in advance. If Party B sublets to others without consent, it shall be treated as a breach of contract.

6.         All operational expenses during the lease term shall be borne by Party B.

7.         Upon lease expiration, if Party B does not renew, it shall remove all affixed decorations. Any structural alterations must be restored, or Party B shall compensate for damages.

五、Breach and LiabilityBoth parties shall comply with this Agreement. Any breach causing losses shall incur liability for compensation.

1.         Late Payments: If Party B fails to pay due fees on time, a late fee of 5% per day of the overdue amount shall apply.

2.         2. During the lease term, if Party B terminates the lease without the consent of Party A, Party B shall pay Party A a penalty equal to the annual rent of the total contract rent. If the liquidated damages paid are insufficient to compensate for the losses suffered by Party A, Party B shall compensate further.

3.         The Party B must pay rent to the Party A as agreed. If the rent is overdue without reason, Party A shall give Party B a grace period of 7 days. Starting from the 8th day, Party A has the right to charge Party B a late fee of [3] % of the actual rent owed per day. At the same time, Party A has the right to terminate this contract and hold Party B responsible for breach of contract.     

4.         Upon the expiration of the lease term, Party B shall return the property as scheduled. If Party B fails to repay on time, Party B shall pay Party A a late fee of [2] times the original daily rent for each day of delay. The Party B shall also bear the losses caused by the overdue return to the Party A.

5.         Neither Party A nor Party B shall be liable for any losses caused by the inability to continue performing this contract due to force majeure or government demolition.

六、Dispute Resolution

Disputes shall first be resolved through negotiation. If unresolved, either party may file a lawsuit in the People’s Court of Party A’s jurisdiction.

七、Miscellaneous

1.         After the expiration of the lease term, if Party B requests to continue the lease, Party B shall have the priority right to lease under the same conditions.

2.         Any matters not covered in this contract may be supplemented by supplementary clauses agreed upon through consultation between Party A and Party B. The supplementary clauses and attachments of this contract are an integral part of this contract, and the text filled in the blank spaces of this contract and its supplementary clauses and attachments has the same legal effect as the printed text.

3.         This Agreement is executed in triplicate, with one copy each for both parties and one retained by Xuzhou Wanda Leasing Service Department for record. The Agreement takes effect upon signing.

4.         Party A grants Party B a 20-day decoration period (March 13, 2025 – April 2, 2025).
